Website terms of use
Effective 1 July 2026. These terms cover your use of the TropicBay Properties website. They do not cover the booking or capital-partnership terms that you sign separately when you take either further step.
The service TropicBay provides
TropicBay Properties operates a public marketing site (this site) and, separately, a short-term-rental management business. The site lets you read about our portfolio, calculate modeled yield for an investor ticket, reserve a stay at one of our managed villas, and (for accredited investors) open a conversation about an LP capital partnership. Each of those flows happens on a different page and a different consent surface.
Acceptable use of the site
You agree to use the site for legitimate interest — researching a stay, an investment opportunity, or a partnership. You agree not to attempt to access the site by means other than the interface we provide, not to probe or scan the service for vulnerabilities, and not to interfere with any user's enjoyment of the site.
No investment advice
TropicBay's published yield ranges, modeled distributions, and portfolio projections are illustrative figures — not investment advice. Past performance does not guarantee future results. Decisions about a capital partnership should be made on the operating definition and term sheet provided to you in writing, after a founder call.
Reservations and stays
When you submit a reservation request on this site, TropicBay (or the villa owner) responds to confirm availability and price. A confirmed reservation is governed by the booking terms attached to that specific villa and stay — cancellation, check-in, and house rules — not by these website terms of use.
Capital partnerships
Submitting an inquiry through the Investor or Investors pages starts a conversation. It does not create an offer, an LP agreement, or a binding commitment of capital. Any capital partnership requires a signed term sheet and a separate subscription agreement with the operating entity.
Intellectual property
Site content — the TropicBay name, the brand mark, photography of our properties, copy describing the operating playbook — belongs to TropicBay Properties or to the parties we license it from. You may not reproduce or redistribute site content without permission.
Liability
TropicBay provides the website "as is" and disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages arising from your use of the site.
Governing law
These terms are governed by the laws of the State of California, USA. Any dispute will be resolved in the courts of that State.
Changes to these terms
If we make a material change to these terms, we update the effective date at the top of the page and, when the change is significant, notify active contacts by email.
